1. Acceptance of Terms

By accessing or using Chatly (“the Service”), you agree to be bound by these Terms of Service (“Terms”) and any referenced policies. If you do not agree to these Terms, do not use the Service. We may amend these Terms at any time; your continued use after changes are posted means you accept the new Terms.

2. Account Eligibility and Registration

You must be at least 13 years old to use Chatly. Individuals under 18 (or the age of majority in their jurisdiction) should use the Service only with the involvement and consent of a parent or guardian. To comply with the U.S. Children’s Online Privacy Protection Act (COPPA) and similar laws, we do not knowingly collect personal information from children under 13. Any account found to be held by a user under the required age will be terminated. You agree to provide accurate, complete information when creating an account, keep your credentials secure, and promptly update any changed information.

3. Subscription and Billing

Chatly offers both free and subscription-based access. If you purchase a subscription, you agree to provide accurate payment information and authorize recurring charges for renewals. Subscription fees and billing cycles are as described at signup. We reserve the right to change prices. All payments are non‑refundable unless otherwise required by law or stated in our refund policy. If payment fails, we may suspend or terminate your access until payment is received. You can cancel your subscription at any time; cancellation will take effect at the end of the then-current billing period. After cancellation, any unused paid time or credits will be forfeited unless otherwise stated in a refund policy.

4. Acceptable Use Policy (AUP)

Chatly is intended for lawful, respectful use. All users must comply with this Acceptable Use Policy. The following activities and content are prohibited:

  • 4.1 Unlawful Activities. You may not use Chatly to engage in any illegal activity, including but not limited to crimes, terrorism, drug trafficking, fraud, hacking, or any act that violates local, national or international law. For example, you may not use the Service to facilitate money laundering or to plan any criminal or tortious act.

  • 4.2 Hate Speech, Bullying, and Extremism. You may not generate, upload, or request content that is abusive or promotes hatred, violence, or discrimination against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristic. Content that encourages or glorifies violent extremism, terrorism, or illegal armed conflict is forbidden. Personal attacks, threats, intimidation, or insults targeting individuals or groups are not allowed.

  • 4.3 Harassment, Impersonation, and Privacy Violations. Harassing language or content that demeans, harasses or bullies individuals is prohibited. You may not use Chatly to stalk, threaten, defame, or harm others. Impersonating any person or entity, or claiming false credentials (for example, falsely representing expertise, achievements, or identity), is strictly forbidden. You may not upload or generate content that reveals another person’s sensitive personal information (such as identification documents or private communications) without their consent, nor create non-consensual intimate or exploitative content (e.g. sexual content involving minors or without consent).

  • 4.4 Misinformation, Spam, and Fraud. Chatly must not be used to create or distribute fraudulent or deceptive content. This includes schemes involving spam, phishing, scams, or identity theft. You should not use the Service to knowingly spread false information intended to mislead or harm others. Any content that encourages the planning or execution of deceptive or fraudulent schemes is prohibited. Users are responsible for verifying the accuracy of Chatly’s outputs – the Service may produce incomplete or incorrect information, and you should not rely on it as your sole source of truth.

  • 4.5 Content Moderation and Enforcement. Chatly reserves the right to monitor, review, and moderate any content generated or uploaded through the Service. If we determine that any activity or content violates these Terms or the spirit of the policy, we may remove or block it, and we may suspend or terminate user access. This includes conduct that may not be specifically listed but is judged abusive, harmful or disruptive. Repeated or severe violations will result in permanent termination. Users are expected to use good judgment and behave responsibly.

  • 4.6 Reporting Violations. You should report any suspected violations of this AUP (such as misuse of the Service) to Chatly support immediately (e.g. support@chatlyai.app). We will review reports and take appropriate actions, which may include content removal, account suspension, or termination. We may also involve law enforcement when required.

  • 4.7 Legal Compliance. You are responsible for complying with all applicable laws when using Chatly. You may not use the Service in violation of any trade sanctions, export control laws, or embargoes. For example, the Service may not be used in any U.S. embargoed country or by any sanctioned entity. Users must also adhere to data protection and privacy laws. For instance, if you input any personal data of others, you must have their consent and comply with laws like the EU General Data Protection Regulation (GDPR) If you are in the European Union or another jurisdiction with data privacy laws, you may have rights such as accessing or deleting your data; see our Privacy Policy for details. By using Chatly, you represent that your use of the Service and the content you submit will not violate any law (including data privacy, intellectual property, etc.) or the rights of third parties. For example, do not input confidential or proprietary information from others; many AI platforms prohibit users from submitting such data.

5. User Content and License

  • 5.1 User Inputs (Your Content). You retain ownership of the content you submit to Chatly (such as text prompts, uploaded files, or chat logs). You alone are responsible for your inputs. You affirm that you have all necessary rights, licenses, and permissions to use and submit that content. You agree not to include any content you do not own or have permission to use (e.g. someone else’s copyrighted text or private personal data). In particular, do not submit sensitive personal information (e.g. personal data of others, protected health information, financial data) or confidential business data. We advise against sharing any data that is private or proprietary. Chatly does not guarantee the confidentiality of your inputs, so you should treat this as a public platform.

  • 5.2 Service Outputs (Generated Content). Any content generated by Chatly in response to your inputs (the “Output”) is provided to you under these Terms. You do not obtain any copyright or IP ownership in the Output from Chatly; however, Chatly hereby grants you a non-exclusive license to use and reproduce the Output for your personal or business use. Unless otherwise prohibited by law or these Terms, you may use the Output (including commercially) for any lawful purpose. For example, you can publish, modify, or share the Output. Important: AI-generated outputs may not be unique and could be similar to outputs given to other users. Chatly makes no representations about the originality of any Output. You acknowledge that certain legal rights (such as copyright or patent) in the Output may be unclear or may vest in you only if required by law. Any use of the Output is at your own risk. If the Output inadvertently includes copyrighted or trademarked material, you may need to obtain licenses from the original rights holders yourself. In short, while you are free to use the Output, you do so under your responsibility and must ensure it does not infringe any third-party rights.

  • 5.3 License to Chatly. By submitting your content to Chatly, you grant Chatly (and its affiliates) a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, transmit, and display your inputs as necessary to operate, improve, and develop the Service. This includes using the data to train or refine our models and algorithms, unless prohibited by law or agreed otherwise. We will process your content in accordance with our Privacy Policy. You have the right to withdraw this license by deleting your content or account, except insofar as it has already been used in model training or to provide the service.

  • 5.4 Responsible Use of Content. You agree not to use Chatly to develop products or services that compete with Chatly, or to replicate Chatly’s functionality. You will not copy or systematically scrape large amounts of content from the Service. You also agree not to use the Service to store or upload any content that is unlawful or violates these Terms, including any personal data of children under 13.

  • 5.5 Redistribution of Outputs. You may share and distribute Chatly outputs. However, you must not present them as endorsed by or originating from Chatly. When redistributing, you must still comply with these Terms and applicable laws (for example, not using our service to generate defamation or infringing content). Chatly is not responsible for any third-party use of outputs you have provided to others.

6. Intellectual Property Rights

Chatly and its licensors own all rights in the Service and content provided by Chatly (including software, designs, logos, and text). You are granted a limited license to use the Service as intended by these Terms, but you may not copy, modify, distribute, create derivative works of, reverse-engineer, decompile, or otherwise attempt to extract the source code or underlying algorithms of the Service. You may not remove or alter any proprietary notices on the Service. Chatly does not grant you any rights to its trademarks or other intellectual property beyond the limited license to use the Service. Any feedback or suggestions you provide about Chatly (such as feature requests or bug reports) may be used by Chatly without restriction.

7. Refund and Cancellation

9. Third-Party Models and Services

Chatly may use or link to services, data, or content from third parties (for example, AI models, search results, or integrations). We do not control these third-party resources. Any access to third-party content through Chatly is subject to the terms of those third parties. Chatly is not affiliated with, endorsed by, or legally responsible for the content of any third-party AI model or website. You acknowledge that Chatly’s references to third-party products or brands (e.g. Google, OpenAI) do not imply any endorsement. Chatly cannot guarantee the accuracy or suitability of third-party outputs. You agree that Chatly is not liable for any issues arising from third-party content or services linked through our Service.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available”, without any warranty of any kind. Chatly and its affiliates (and licensors) expressly disclaim all warranties, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or title. Chatly does not guarantee that the Service will meet your needs or expectations, or that the Service will be uninterrupted, secure, reliable, or error-free. We do not guarantee the accuracy, completeness, or usefulness of any content or output generated by the Service. You assume all risk for any reliance on outputs from Chatly. It is your responsibility to verify outputs and to maintain backup copies of any important data.

11. Limitation of Liability

To the maximum extent permitted by law, neither Chatly nor its officers, employees, agents, partners or suppliers will be liable for any indirect, incidental, special, consequential or exemplary damages arising out of or related to these Terms or the Service (including loss of profits, loss of data, business interruption, or any other intangible losses), even if advised of the possibility of such damages. Under no circumstances will Chatly’s aggregate liability to you exceed the greater of (a) the fees actually paid by you to Chatly in the 12 months prior to the claim, or (b) USD $100, or such other amount as may be set by applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties; in such cases, our liability will be limited to the fullest extent permitted by law.

12. Indemnification

You agree to defend, indemnify and hold harmless Chatly and its officers, directors, employees and agents from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms or any content you submit, transmit, or display through the Service. This includes any liability arising from your use of outputs, your violation of any laws, or your infringement of any third-party rights.

13. Termination and Suspension

Chatly may suspend or terminate your access (without refund) at any time if you violate these Terms or engage in prohibited conduct. We may also terminate or suspend accounts that have been inactive for an extended period (for example, no login for 12 months), with notice beforehand. Upon termination, your right to use the Service ceases immediately, and Chatly may delete or anonymise your data. Termination will not waive any fees or obligations you have incurred prior to termination. You are free to stop using Chatly at any time. If we terminate your account, you may not create a new account without our permission.

14. Changes to Terms

Chatly may update these Terms from time to time. We will post the updated Terms on our website and indicate the revision date. Major changes (such as increased fees or altered content rights) will be highlighted. Your continued use of the Service after the posted effective date of the revised Terms means you agree to the new terms. If you do not agree to the updated Terms, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms and your use of Chatly are governed by the laws of [Delaware**, USA**] . Any disputes arising under these Terms will be resolved by binding arbitration administered by a recognized arbitration provider (subject to any exceptions under applicable law), rather than in court, and you waive any right to a jury trial. The arbitration will take place in [Newcastle County, Delaware, United States].

16. Miscellaneous

  • Entire Agreement. These Terms (together with any documents they incorporate) constitute the entire agreement between you and Chatly regarding the Service. They supersede any prior agreements.

  • Severability. If any part of these Terms is held invalid or unenforceable, the rest will remain in effect.

  • No Waiver. Our failure to enforce any right or provision under these Terms will not be considered a waiver of such right.

  • Assignment. You may not transfer or assign your rights or obligations under these Terms without our written consent, but we may freely assign or transfer these Terms.
